TERMS AND CONDITIONS
Yana Maxxi LLC
Effective Date: October 2026
At Yana Maxxi LLC, we are committed to providing a welcoming and professional environment where participants can develop their dance technique, build confidence, and explore their individual expression through movement. These Terms and Conditions establish clear expectations for participation and help maintain a respectful and productive experience for everyone.
For the purposes of these Terms and Conditions (the “Agreement”), “Yana Maxxi,” “we,” “us,” and the “Company” refer to Yana Maxxi LLC. This Agreement is between the Company and the person purchasing or registering for an offering (the “Participant”). It applies to our classes, courses, creative groups, private lessons, workshops, rehearsals, filming sessions, events, digital products and related services, whether provided at rented venues, online or through platforms used to deliver our offerings. Provisions concerning a particular product or service apply only when it is offered and purchased.
By completing your purchase and checking the agreement box at checkout, you confirm that you have read, understood and agreed to these Terms and Conditions and acknowledged our Privacy Policy, accessible through the links provided before purchase. This acceptance includes the assumption of risk, ordinary-negligence release, photography and videography consent, and other terms below, subject to their stated limitations. If you do not agree, you must not complete your purchase.
1 Enrollment and program details
Participants must complete registration and accept this Agreement before participating. A place is confirmed only after full payment through an official payment channel, unless the Company has expressly approved a different written payment schedule.
The course or product page and checkout information identify the program, level, dates, duration, location, price and included services. Those details form part of this Agreement. Any hourly rates or separately priced services will be stated in the enrollment information where applicable. Optional filming, solo videos, private coaching and other add-ons are included only when expressly listed or separately purchased.
A confirmation will be sent to the email address supplied at registration. If it does not arrive, the Participant must promptly contact the Company and check spam or junk folders.
2 Payment and package pricing
Group courses and creative groups are sold as complete packages, rather than as individually priced drop-in sessions. The package price remains payable regardless of attendance. Individual sessions, partial attendance and prorated enrollment are not available unless expressly offered in writing.
Full payment is required by the deadline stated at registration. Partial payments or deposits are available only if the Company approves them in writing. The approved schedule must state the deposit, remaining balance and due dates. Deposits are non-refundable. Failure to pay the balance on time may result in cancellation of the reservation and loss of amounts already paid, subject to applicable law.
If a payment plan expressly includes a late fee, the fee is $50 per overdue scheduled payment, to the extent permitted by law. No payment plan or late fee is created merely by this paragraph. By submitting payment details, the Participant authorizes the agreed charges for the selected purchase and any expressly accepted payment schedule.
3 All sales final and participant cancellations
ALL SALES ARE FINAL. PAYMENTS, DEPOSITS, COURSE FEES AND OPTIONAL ADD-ON FEES ARE NON-REFUNDABLE, EXCEPT AS EXPRESSLY PROVIDED FOR STUDIO CANCELLATION BELOW OR AS REQUIRED BY APPLICABLE LAW.
No discretionary refund will be issued for a change of mind, personal circumstances, scheduling conflicts, travel difficulties, illness or injury, missed sessions, dissatisfaction with personal progress, incorrect self-placement into a level, a decision not to participate in filming, or a decision to leave a course early.
Enrollment is personal and non-transferable. Payments and unused sessions may not be assigned to another person, transferred to another course or future enrollment, exchanged for another service, or converted into credit. The Participant remains responsible for payments already agreed under a written payment schedule, subject to any rights that cannot legally be waived.
An absence does not create a right to a refund, reimbursement, make-up class, private replacement lesson or rescheduling. Any exception offered by the Company must be confirmed in writing and does not create an ongoing entitlement or change the policy for other participants. Nothing in this Agreement excludes a cancellation or refund right that applicable law makes non-waivable.
4 Attendance and preparation
Participants are responsible for reviewing the schedule, prerequisites and requirements before purchasing and for choosing an appropriate level. Consistent attendance is strongly recommended. The Company does not guarantee a particular performance outcome, physical change, level of confidence or rate of progress.
Arrive on time and allow sufficient time to prepare. A late Participant may be asked to wait or may be refused entry where joining would disrupt instruction or create a safety concern. Such a restriction does not automatically entitle the Participant to a make-up session or discretionary refund.
Participants must bring suitable dance clothing, secure and properly fitted footwear, and any equipment listed for the program. Heels and fastenings must be checked before use; non-marking soles or heel protection may be required by the venue. Avoid jewelry, oils, lotions or other items that may create an injury or slipping hazard. Maintain appropriate personal hygiene and respect shared facilities.
5 Schedule changes and Company cancellations
The Company may reasonably adjust a date, time, instructor, venue or delivery format because of venue conflicts, instructor illness, safety concerns, technical problems or other unforeseen circumstances. Changes will be communicated as soon as practicable by email and may also be announced through official group chats or other registration channels.
Participants are responsible for checking those channels and keeping their contact details current. A rescheduled session, substitute instructor, alternative venue or online alternative does not automatically entitle a Participant to a discretionary refund, credit or transfer if the revised arrangements conflict with the Participant’s schedule, subject to mandatory legal rights.
If the Company cancels an offering entirely and does not provide it, the Participant will receive a refund of the enrollment fee for the canceled offering or may choose a transfer or credit instead. If the Company permanently cancels only part of a program without replacement, any refund will relate to the undelivered portion. A transfer or credit must be accepted by the Participant; it is not imposed in place of a refund due under this paragraph.
Events beyond reasonable control, including natural disasters, extreme weather, government restrictions, pandemics, venue closures and major technical interruptions, may cause delays, changes or cancellation. The Company is not responsible for non-performance caused by such events to the extent permitted by law. This does not remove an expressly promised or legally required refund for undelivered services.
6 Travel and accommodation
Participants arrange and pay for their own transportation, lodging, parking, meals and other attendance-related expenses. Refundable bookings and suitable travel insurance are recommended.
To the extent permitted by law, the Company is not responsible for third-party costs or incidental or consequential expenses caused by schedule changes, relocation, rescheduling or cancellation. A refund of a program fee does not include reimbursement of travel, accommodation, visa fees or other personal expenses.
7 Conduct and use of facilities
Treat instructors, staff and fellow participants respectfully. Harassment, discrimination, threats, unwanted physical contact, theft, unsafe conduct and persistent disruption are prohibited. Follow the instructor’s directions and the rules of each rented venue. Use equipment properly and return it to its designated place.
Participants must not interrupt instruction to promote their own businesses, solicit clients, recruit students, distribute competing offers or use official class chats or Company activities for commercial promotion without written permission. Do not circulate another participant’s contact information without consent.
Disruptive or inappropriate conduct may result in a warning, suspension or immediate removal, depending on severity. The Company may deny future enrollment. Removal for a violation does not create a discretionary right to a refund; mandatory legal rights remain unaffected.
Participants are responsible for their belongings. The Company does not provide supervised storage and is not responsible for lost, stolen or damaged items except to the extent liability cannot lawfully be excluded.
8 Health and safety
Participation is voluntary. Participants must assess their ability to take part safely and obtain appropriate medical guidance where a health condition, pregnancy, recent surgery or injury may affect participation. Instruction is not medical treatment, diagnosis or rehabilitation.
Work within your limits, follow reasonable safety instructions and stop if you experience pain, dizziness or other concerning symptoms. Inform the instructor promptly about an injury or an immediate safety concern. The Participant may decline a movement or physical correction. Do not participate while impaired by alcohol or other substances.
The Company may restrict or stop participation where reasonably necessary for safety. In an emergency, the Company may contact emergency services and the emergency contact supplied at registration. Participants remain responsible for their medical expenses to the extent legally payable by them.
9 Assumption of risk and liability release
PLEASE READ CAREFULLY. THIS SECTION AFFECTS LEGAL RIGHTS.
Dance, heels training, stretching, floorwork, turns, balance work, rehearsals and filming involve inherent risks, including slips, falls, collisions, footwear or equipment failure, strains, sprains, fractures, joint or back injuries and, in rare cases, permanent disability or death. Not all risks can be anticipated or eliminated.
The Participant knowingly and voluntarily accepts the inherent risks of the activities undertaken. To the fullest extent permitted by law, the Participant releases Yana Maxxi, its instructors, employees, agents and the relevant venue owners and operators from claims for injury, death or property damage arising from participation, including claims resulting from their ordinary negligence in instruction, supervision, premises or equipment.
This release does not extend to gross negligence, reckless or intentional misconduct, fraud, or liability that cannot legally be waived. It does not waive non-waivable consumer, privacy, cancellation or refund rights. No provision guarantees that an injury will not occur.
10 Choreography and intellectual property
Original choreography, written materials, recordings, course content, branding and other protected materials presented by the Company remain the property of the Company or their respective rights holders, to the extent protected by applicable law. Enrollment or purchase does not transfer ownership.
Without prior written permission, Participants must not copy or distribute protected instructional materials, sell or teach the Company’s protected choreography, reproduce its course materials in another program, or falsely present the Company’s choreography or content as their own. These restrictions do not confer exclusive ownership of general skills, common steps or methods that are not legally protectable.
Recording instruction, breakdowns or other participants requires advance permission. Full-length instructional recordings and step-by-step breakdowns may not be posted or distributed without written approval.
The Company may permit Participants to share approved footage of their own performance on personal social media. Credit Yana Maxxi and the identified choreographer or creator, retain supplied watermarks, and do not edit the material in a way that misrepresents its origin. Such permission does not authorize resale, teaching, licensing, sponsorship use or advertising another training program using the Company’s choreography.
Unauthorized use may result in removal from programs, refusal of future enrollment and pursuit of remedies available under applicable law.
11 Photography and videography consent
Classes, rehearsals, filming sessions and events may be photographed or recorded. By expressly accepting this Agreement and this section, the Participant consents to the capture of their image, likeness, voice and performance in connection with the Company’s offerings.
The Participant grants the Company a worldwide, royalty-free license to use, reproduce, reasonably edit, publish, display, distribute and license the resulting material for the Company’s website, social media, advertising, portfolio, educational content and commercial digital products, including sale of class footage. The license continues for footage lawfully recorded during participation, to the extent permitted by law. No appearance payment, royalties, advance notice or approval of each use is required.
Rights in photographs and recordings belong to their respective rights holders. The Company may exercise only the rights it owns or is authorized to use. Purchasing a class or personal video does not transfer copyright in the recording or choreography to the Participant.
Any objection to filming must be raised by email before enrollment. The Company may advise whether an accommodation is available; a filming-based offering may require participation on camera. A later decision not to attend because of filming does not create a discretionary refund right.
Requests to remove or edit previously published material may be emailed to the Company and will be considered at its discretion, subject to applicable legal rights. Material already distributed, purchased or downloaded by others may not be recoverable. This consent does not authorize unlawful, defamatory or materially misleading use.
12 Class footage and digital products
Where a digital product or class video is sold, the product description must state what is supplied, its delivery method and the access period. Access will be delivered through the email address, download link or account specified at purchase. Download files within the stated period; permanent hosting is not promised unless expressly included.
Digital purchases provide a personal, non-exclusive, non-transferable license to view and use the product as described. Do not resell, share access credentials, redistribute full recordings, upload instructional content, or use purchased footage to teach the choreography without written permission. Approved personal performance clips may be shared only under Section 10.
Digital sales are final and non-refundable, subject to mandatory legal rights. If access is missing or a file does not work, email the Company within seven days of purchase so it can investigate and provide working access or a replacement file. This reporting period does not limit a legal remedy that cannot be restricted.
Footage may contain copyrighted music. Music rights are not transferred by a purchase. Social platforms may mute, block or remove recordings, and the Company does not guarantee unrestricted posting or monetization.
13 Communication and personal information
Official inquiries must be sent to the business contact email provided on the Yana Maxxi website or in the purchase confirmation. Social-media messages may not be monitored and should not be used for urgent matters, cancellation notices or payment concerns. Group chats supplement official email communications.
The Participant must provide accurate contact and emergency information and keep it current. Personal information is handled in accordance with the separately provided Privacy Policy, including processing by service providers needed for registration, payments, communications and delivery.
Promotional SMS messages require a separate explicit opt-in. Where the Participant opts in, messages may include offers and reminders; message and data rates may apply. The Participant may opt out by replying STOP or contacting the official business contact email. Acceptance of this Agreement alone does not create promotional SMS consent.
14 Minors
Participation by a person under 18 requires the Company’s approval. The parent or legal guardian must complete registration, identify themselves and the minor, and affirmatively accept this Agreement on the minor’s behalf through the acknowledgment checkbox, including the applicable participation and media permissions. A minor’s entry into a room does not substitute for parental consent. Any release concerning a minor applies only to the extent legally enforceable.
15 Payment disputes
Participants agree to contact the Company first where reasonably practicable so a payment or service concern can be addressed. The Company may challenge an inaccurate or unsupported payment dispute using the enrollment record, this Agreement and evidence of delivery.
This provision does not prohibit a lawful chargeback, require a Participant to miss a dispute deadline, or waive non-waivable rights. The no-refund policy remains applicable to discretionary refund requests; it does not determine rights granted by law or a payment provider.
16 Governing law and dispute resolution
California law governs this Agreement, subject to applicable mandatory law. The parties will first attempt to resolve disputes directly. They may then agree to mediation in San Diego County, California. Binding arbitration requires a separate written arbitration agreement accepted by both parties. Otherwise, disputes may be brought before a court with lawful jurisdiction, subject to mandatory venue rules.
17 Changes and future participation
The version accepted at purchase governs that enrollment. The Company may update its policies for future purchases and require acceptance of an updated agreement before future participation. Material changes to an existing enrollment require acceptance where legally necessary and do not apply retroactively merely because they are posted online.
Unless replaced by an accepted updated agreement, these general policies may apply to later enrollments that expressly incorporate them. The schedule, price and included services of each later purchase must be separately identified. Provisions concerning accrued payments, intellectual property, authorized media use and applicable releases continue after participation ends to the extent permitted by law.
If a provision is unenforceable, the remaining provisions continue only to the extent permitted by law. Nothing in this Agreement overrides a mandatory legal requirement.
18 Acknowledgment and acceptance
By completing a purchase and affirmatively accepting the linked terms at checkout, the Participant confirms that they have read, understood and agreed to this Agreement. This includes the all-sales-final policy, attendance restrictions, assumption of risk, ordinary-negligence release, intellectual property restrictions, and photography and videography consent, subject to the limitations stated in this Agreement. Acceptance occurs on the purchase page; no separate signature or acknowledgment within this document is required.
